These Terms of Use were last revised on 25-August-2022 Tenet is an online platform offered by Tenet Digital Media Pvt. Ltd. (hereinafter referred to as “Tenet”, or “We” or “Us” or “Our”). Tenet through its website and related mobile applications (together referred to as “Tenet Platform”), offers a wide variety of interesting occurrences wherein the user can bid on the probability of the occurrence of a specified event. These Terms of Service for Tenet (“Terms”) along with Tenet’s Privacy Policy (“Privacy Policy”), govern the relationship between the users (“You” or “User”) and Us. The Terms, Privacy Policy, and the cumulative set of Game Rules, if any (together “Platform Policies”) form a binding legal agreement between You and Tenet, on the basis of which You may visit, access, or use the Platform and related services offered by Us (“Services”). Your use of the Services indicates Your acceptance of the Platform Policies and hence You are advised to read the Terms carefully before using Our Services. We reserve the right to periodically review, update, or otherwise modify any part of the Platform Policies at Our sole and absolute discretion, and accordingly, You are advised to keep Yourself updated on the latest Platform Policies. We will provide you with notice of any modification to the Terms, and Your continued access and use of the Services after such notification shall constitute consent to the modified Platform Policies. Certain Tenet Services being provided on Tenet may be subject to additional rules and regulations set down in that respect. To the extent that these Terms and Conditions are inconsistent with the additional conditions set down, the additional conditions shall prevail. If You do not accept any part of the Platform Policies or any subsequent modification therein, You must stop accessing or using Our Services. To use the Services and play on the Platform, You must register with Us and consent to the Platform Policies. In the event where one or more of the terms hereunder are determined to be invalid or unlawful for any reason, by a competent judicial or quasi-judicial authority in India, the validity or enforceability of the remaining terms will not be affected and the same will be valid and binding on You and all other users General Terms: Tenet may, at its sole and absolute discretion: Restrict, suspend, or terminate any User’s access to all or any part of Tenet or Tenet Platform Services Change, suspend, or discontinue all or any part of the Tenet Platform Services Reject, move, or remove any material that may be submitted by a User Move or remove any content that is available on the Tenet Platform Deactivate or delete a User’s account and all related information and files on the account - Establish general practices and limits concerning use of Tenet Platform - Offer discounts or cash rewards to its users in a form it deems fit (“Cash Bonus“) Revise or make additions and/or deletions to the roster of questions, data, information provided in relation to a particular outcome that is being bid on Assign its rights and liabilities to all User accounts hereunder to any entity (post such assignment intimation of such assignment shall be sent to all Users to their registered email ids) In the event You breaches, or Tenet reasonably believes that You have breached these Terms and Conditions, or has illegally or improperly used Tenet or the Tenet Services, Tenet may, at its sole and absolute discretion, and without any notice, restrict, suspend or terminate Your access to all or any part of the Tenet Platform, deactivate or delete Your account and all related information on the account, delete any content posted by the User on Tenet and further, take technical and legal steps as it deems necessary. If Tenet charges You a platform fee in respect of any Tenet Services, Tenet shall, without delay, repay such platform fee in the event of suspension or removal of the Your account or Tenet Services on account of any negligence or deficiency on the part of Tenet, but not if such suspension or removal is effected due to: any breach or inadequate performance by You of any of these Terms and Conditions or any circumstances beyond the reasonable control of Tenet. By accepting these Terms and Conditions You are providing your consent to receiving communications such as announcements, administrative messages and advertisements from Tenet or any of its partners, licensors or associates. Eligibility & User Account The Tenet Platform is open only to persons above the age of 18 years who are currently residing in India. Persons who wish to participate must have a valid email address. You agree to provide true, accurate, current and complete information at the time of registration and at all other times (as required by Tenet). You further agree to update and keep updated their registration information When you register with Us, You choose Your username which shall be your identity (“Username”) on the Platform. Your chosen username is confirmed, subject to availability and in compliance with these Terms. You are prohibited from creating or using multiple Usernames and/or accounts on our Platform. If multiple User IDs and/or accounts are detected for one user, we may take penal actions, including cancellation of all amounts related to Discounts on linked Username and/or accounts, and suspension of the linked User IDs and/or accounts. Username must not be indecent, objectionable, offensive, or unlawful. Username that are found to violate the intellectual property of any entity, reveal personal information, or be suggestive of an advertising or promotional activity, may be rejected. Users in violation of these stipulations will be given an opportunity to provide an alternate Username failing which We reserve the right to either terminate Your Tenet Account or restore Your Tenet Account only after an acceptable Username has been provided by You. Your Username will remain active on the Platform unless We terminate or suspend Your access to the Platform for a violation of the Platform Policies in accordance with these Terms, or where You voluntarily delete Your Tenet Account or where Your Tenet Account becomes inactive. Tenet may on receipt of information bar a person from participation and/or withdrawing amounts from their Tenet Account if such person is found to be one with insider knowledge of certain specified future events on which such person is/has placed a bid. Only those Participants who have successfully registered on the Tenet Platform shall be eligible to bid on the outcome of specified future events. If a person declares a false age, Tenet shall not be held responsible and such person shall, in addition to forfeiting any and all rights over their Tenet Account, shall indemnify and hold Tenet, its Directors, officers, employees, agents, affiliates harmless of any and all losses that may be suffered by Tenet its Directors, officers, employees, agents, affiliates by virtue of such false declaration being made. In case the person making the false declaration is below the age of 18 such person’s legal guardians shall indemnify and hold Tenet, its Directors, officers, employees, agents, affiliates harmless of any and all losses that may be suffered by Tenet its Directors, officers, employees, agents, affiliates by virtue of such false declaration having been made by said person. You agree to ensure that they can receive all communication from Tenet by e-mails or SMSs or WhatsApp messages from Tenet. Tenet shall not be held liable if any e-mail/SMS/WhatsApp message remains unread by a User as a result of such e-mail getting delivered to the User’s junk or spam folder. Intellectual Property Tenet and/or its affiliates, as the case may be, exclusively owns all rights and intellectual property of any type throughout the world, including but not limited to patents, trademarks, domain names, trade names, service marks, copyrights, software, trade secrets, industrial designs, advertisements, content (whether written, audio and/or visual), photographs, graphics, images, illustrations, graphs, charts, marks, logos, audio or video clippings, animations etc. and know-how in the Services, Platform and underlying technology and documentation therein (“Tenet Intellectual Property”). By virtue of validly registering with Us, You are granted a limited right to use Our Services in accordance with the Platform Policies, and You have no other right, ownership, title, or interest in the Tenet Intellectual Property. Users agree to indemnify and hold harmless Tenet, its directors, employees, affiliates and assigns against all costs, damages, loss and harm including towards litigation costs and counsel fees, in respect of any third party claims that may be initiated including for infringement of Intellectual Property Rights arising out of such display or use of the names, logos, marks, labels, trademarks, copyrights or intellectual and proprietary rights on the Tenet Platform, by such User or through the User’s commissions or omissions Privacy Policy All information collected from You, such as registration and credit card information, is subject to Tenet’s Privacy Policy which is available at _________ User Conduct You agree to abide by these Terms and Conditions and all other rules, regulations and terms of use of the Website. In the event You do not abide by these Terms and Conditions and all other rules, regulations and terms of use, Tenet may, at its sole and absolute discretion, take necessary remedial action, including but not limited to: - restricting, suspending, or terminating any Your access to all or any part of Tenet Services. You shall not upload, distribute, transmit, publish, share, display, or post content through Our Services or through any service or facility including any Communication Feature provided by Us which: belongs to another person and to which You do not have any right; is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy, including bodily privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force; is harmful to a child; infringes any patent, trademark, copyright or other proprietary rights; deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact; impersonates another person; threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation; contains a software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource; is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person; is otherwise objectionable or undesirable (whether or not unlawful); is aimed at soliciting donations, chips or other forms of help; disparages Tenet or any of its subsidiaries, affiliates, licensors, associates, partners, sponsors, products, services, or websites, in any manner; promotes a competing service or product; or violates any law for the time being in force. You agree not to use cheats, exploits, automation, software, bots, hacks or any unauthorised third party software designed to modify or interfere with Tenet Services and/or Tenet experience or assist in such activity. You agree not to copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or software underlying Tenet or Tenet’s Services. You agree not to disrupt, overburden, or aid or assist in the disruption or overburdening of (a) any computer or server used to offer or support Tenet or the Tenet’s Services (each a “Server”); or (2) the enjoyment of Tenet Services by any other User or person. You agree not to institute, assist or become involved in any type of attack, including without limitation to distribution of a virus, denial of service, or other attempts to disrupt Tenet Services or any other person’s use or enjoyment of Tenet Services. You shall not attempt to gain unauthorized access to the User accounts, Servers or networks connected to Tenet Services by any means other than the User interface provided by Tenet, including but not limited to, by circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person to circumvent or modify, any security, technology, device, or software that underlies or is part of Tenet Services. You shall not to publish any content that is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person. Use of the Tenet Platform is subject to existing laws and legal processes. Nothing contained in these Terms and Conditions shall limit Tenet’s right to comply with governmental, court, and law-enforcement requests or requirements relating to Users’ use of Tenet. Tenet may not be held responsible for any content contributed by Users on the Tenet Platform. Liability You are solely responsible for any consequence resulting from Your participating in this Activity or being associated with this Activity or around this Activity. You understand that We assume no liability or responsibility for any financial loss that You may sustain as a result of participation in the Activity. You agree to indemnify and hold harmless Tenet against any claims, actions, suits, damages, penalties, or awards brought against Tenet by any entity or individual in connection with or in respect of Your use of the Services. Tenet accepts no liability, whether jointly or severally, for any errors or omissions, whether on behalf of itself or third parties in relation to the data/information collated and published on the Tenet Platform. Users shall indemnify, defend, and hold Tenet harmless from any third party/entity/organization claims arising from or related to such User’s engagement with the Tenet Platform. In no event shall Tenet be liable to any User for acts or omissions arising out of or related to User’s engagement with the Tenet Platform. In consideration of Tenet allowing Users to access the Tenet Platform, to the maximum extent permitted by law, the Users waive and release each and every right or claim, all actions, causes of actions (present or future) each of them has or may have against Tenet, its respective agents, directors, officers, business associates, group companies, sponsors, employees, or representatives for all and any injuries, accidents, or mishaps (whether known or unknown) or (whether anticipated or unanticipated) arising out of the provision of Tenet Services. Participation Format and Rules: As part of its services Tenet shall, via the Tenet Platform, make available questions relating to the probability of the occurrence of a specified future event, data and information collated from publicly available sources related to the specified future event, and/or the ability for Users to add their own opinions, data/information related to a particular future event. Depending upon the potential outcome for each specified future event, the time period of occurrence of such specified future event, the number of bids received for a specified future event and any other factors that might be relevant in Tenet’s sole discretion, Users may be allowed to edit their bids and/or place multiple bids on the occurrence of a specified future event. The Tenet Platform shall, on a best efforts basis, attempt to match a User’s bid on a specified future event with a complementary bid of another User. Once a complementary bid is found and a match is made, neither of the two users shall be allowed to withdraw their specific bid and the settlement of the bids between the two users shall be determined basis the occurrence and outcome of the specified future event on which the two User’s have placed their bids. If a User makes a bid on a specified future event but no complementary bid is available till the occurrence of the specified future event, the bid amount will be returned to the User. Tenet reserves the right to abandon a specific question or set of questions related to a specified future event, or adjust the deadline for bidding on such specified future event in certain specific, uncertain scenarios, which are beyond Tenet’s reasonable control. Tenet shall endeavor to send communications through various modes including but not limited to emails and/or SMS communication and/or WhatsApp messages, about any such change to keep the User updated. Bidding on certain specified future events might have specific rules that Tenet will notify the User(s) before making the bid. Such rules will be in addition to these Terms and Conditions unless otherwise specified in the said rules. To place a bid a User must pay a certain amount that is equivalent/commensurate with the likelihood of occurrence of a specified future event. A winning bid is determined basis the occurrence and outcome of a specified future event. A User’s bid on the said event will be deemed to be successful if the parameters which formed the basis for the User making a bid are met and/or have occurred. If the parameters are which formed the basis for the User making a bid are not met and/or have not occurred the bid shall not be successful. All Users understand and acknowledge that participation via the Tenet Platform and placing bids on specified future events by a User is based on Users’ individual analysis of the possibility of occurrence of a specified future event. While Tenet collates and provides data and information related to the future events from publicly available sources on the Tenet Platform, Users are encouraged to use their own methods to collect/gather/collate and analyze information related to the specified future event and bid on the said event only after making a thorough and detailed analysis and determination as to the possibility of success of their individual bids. To bid on a specified future event a User must add money to their account on the Tenet Platform (“Tenet Account”). Tenet may, in its sole discretion, specify the amounts that can be added and/or held by a User either in aggregate or in tranches. Credits and debits towards making bids, winning bids or losing bids will be made to and from (as the case may be) the User’s Tenet Account. Payment Terms In respect of any bids placed via the Tenet Platform Users agree to be bound by the following payment terms: You can only place a bid if the Your Tenet Account has a minimum balance that corresponds to the amount the User wishes to bid. When a User places a bid Tenet shall place a hold on the bid amount in the User’s account. Tenet reserves the right to charge a Platform Fee, which would be specified and notified by Tenet from time to time. The Platform Fee (inclusive of applicable tax thereon) will be debited from a User’s account balance at the time of determination of the outcome of a specified future event on which the user has placed a bid. Tenet shall issue an invoice for such debit to the User. All bid amounts shall be debited from the User’s Tenet Account and all winning bids shall be credited to the User’s Tenet Account after deduction of the Platform Fee. If a User has not made any bids for a continuous period of 365 days, all amounts in the said User’s Tenet Account shall be forfeited. Tenet, in its sole discretion, may choose to reverse such forfeiture, either in whole or part. Tenet, may at its sole discretion, fix limits on the amount a user may be allowed to deposit into or withdraw from their Tenet Account and define minimum limits which must be met in a User’s Account before allowing a withdrawal. When a User is eligible to withdraw money from their User Account, Tenet shall effect an online transfer to the User’s bank account on record with Tenet within a commercially reasonable period of time. Such transfer will reflect as a debit to the User’s Tenet Account. Tenet shall not charge any processing fee for the online transfer of such amount from the Tenet Account to the User’s bank account on record with Tenet. Users may be required to provide certain “Know Your Customer” (“KYC”) documents in order for Tenet to process the withdrawal request. The name mentioned on the User’s KYC document(s) should correspond with the name provided by the User at the time of registration on Tenet, as well as the name and address existing in the records of the User’s bank account as provided to Tenet. In the event that no bank account has been registered by the User against such User’s account with Tenet, or the User has not verified his/her User account with Tenet, to Tenet’s satisfaction and in accordance with these Terms and Conditions, and in case the User fails to register a bank account with his/her User Account and/or to verify his/her User Account, Tenet shall not transfer any amounts to the User. Further, in order to conduct promotional activities, Tenet may, from time to time, gratuitously issue certain amounts (“Promotional Balance”) to the User for the purpose of participation on the Tenet Platform. The usage of any Promotional Balance issued by Tenet to the User shall be subject to the limitations and restrictions as determined by Tenet in its sole discretion. The issue of any Promotional Balance to a User is subject to the sole discretion of Tenet and cannot be demanded by any User as a matter of right. Subject to these Terms and Conditions and any additional Terms published by Tenet from time to time, Users agree that once they confirm a transaction on Tenet, they shall be bound by and make payment for that transaction. Third Party Sites, Services and Products Links to other Internet sites owned and operated by third parties may be provided via the Tenet Platform. Users’ use of each of those sites is subject to the conditions, if any, posted by the sites. Tenet does not exercise control over any Internet sites apart from the Tenet Platform and cannot be held responsible for any content residing in any third-party Internet site. Tenet’s inclusion of third-party content or links to third-party Internet sites is not an endorsement by Tenet of such third-party Internet site. Users’ correspondence, transactions/offers or related activities with third parties, including payment providers and verification service providers, are solely between the User and that third party. Users’ correspondence, transactions and usage of the services/offers of such third party shall be subject to the terms and conditions, policies and other service terms adopted/implemented by such third party, and the User shall be solely responsible for reviewing the same prior to transacting or availing of the services/offers of such third party. The User agrees that Tenet will not be responsible or liable for any loss or damage of any sort incurred as a result of any such transactions/offers with third parties. Any questions, complaints, or claims related to any third party product or service should be directed to the appropriate vendor. The Tenet Platform contains content that is created by Tenet as well as content provided by third parties. Tenet does not guarantee the accuracy, integrity, quality of the content provided by third parties and such content may not relied upon by the Users in utilizing the Tenet Services provided on the Tenet Platform. Dispute and Dispute Resolution The Platform Policies are governed by and shall be interpreted in accordance with the laws of India. Subject to above Clause, any dispute, controversy, or claim against the Us or arising out of these Platform Policies shall be subject to the exclusive jurisdiction of the civil courts at Delhi. In the event of any legal dispute arising in relation to any aspect of the Platform Policies, or the use of our Services by You, You must provide written notification to Us of the dispute and relevant details. We shall attempt to resolve the dispute through discussions with You, and where such resolution fails to be concluded within thirty (30) days, the dispute may be referred to arbitration. The arbitration shall be conducted before a sole arbitrator appointed by Tenet. The place of arbitration shall be New Delhi and the arbitration proceedings shall be conducted, in English, in accordance with the provisions of the Arbitration and Conciliation Act, 1996 and subsequent amendments. The award arising from such arbitration proceedings will be final and binding on the parties, and each party will bear its own costs of arbitration and equally share the fees of the arbitrator unless the arbitral tribunal decides otherwise. Nothing shall preclude Tenet from seeking interim or permanent equitable or injunctive relief, or both, from the competent courts at New Delhi, having jurisdiction to grant relief on any Disputes. The pursuit of equitable or injunctive relief shall not be a waiver of the duty of the Parties to pursue any remedy (including for monetary damages) through the arbitration described herein. The arbitration award will be final and binding on the Parties. Disclaimers Tenet or its affiliates, directors, officers, professional advisors, employees shall not be liable for any claim, loss, injury, damages, expenses, or lost profits or winnings, incurred by User in connection with the use of the Services. User is solely responsible for any consequence resulting from its participating in this Activity or being associated with this Activity or around this Activity. User understands that Tenet assume no liability or responsibility for any financial loss that You may sustain as a result of participation in the Activity. Any material accessed, downloaded or otherwise obtained through the Tenet Platform is done at the User’s discretion, competence, acceptance and risk, and the User will be solely responsible for any potential damage to User’s computer system or loss of data that results from a User’s download of any such material. The Platform is offered by Tenet on an as-is basis and Tenet makes no implied warranties, with respect to the Service. All implied warranties of merchantability and fitness for a particular purpose or use, are disclaimed. No one is authorized to make any warranty on Tenet, and users may not rely on any other statement of warranty. However, if there is an error in the Service, Tenet shall take prompt steps to rectify the same. In case Tenet discovers any error, Tenet reserves the right (exercisable at its discretion) to rectify the error in such manner as it deems fit, including through a set-off of the erroneous payment from amounts due to the User or deduction from the User’s account of the amount of erroneous payment. In case of exercise of remedies in accordance with this clause, Tenet agrees to notify the User of the error and of the exercise of the remedy(ies) to rectify the same. Any Tenet Services being hosted or provided, or intended to be hosted on the Tenet platform and requiring specific permission or authority from any statutory authority or any state or the central government, or the board of directors shall be deemed cancelled or terminated, if such permission or authority is either not obtained or denied either before or after the availability of the relevant Tenet Services are hosted or provided. To the extent permitted under law, in the event of suspension or closure of any Tenet Services Users shall not be entitled to make any demands, claims, on any nature whatsoever. The effective Platform Policies contain all the terms agreed between the Parties regarding the access to and use of the Services supersedes and excludes any prior terms and conditions made between Tenet and User. Use of Cookies Tenet use cookies to store visitors’ and Users’ preferences and to record session information, for purposes including ensuring that visitors/Users are not repeatedly offered the same advertisements and to customize newsletter, advertising, and Content based on browser type and user profile information. Tenet does not link the information that We store in cookies to any personally identifiable information You submit while on our site. Please note that Tenet allows third party advertisers that are presenting advertisements on some of our pages to set and access their cookies on Your computer. Please note that third parties (such as analytics software) may also use cookies, over which we have no control and such use shall be governed by third Party’s own privacy policies. The Privacy Policy of Tenet may not be applicable in this regard. Please also refer to our Privacy Policy for further information on collection of cookies. Force Majure Tenet hereto shall not be liable to You for delay in any performance or for the failure to render any performance under this Agreement or any other Agreement when such delay or failure is a direct result of any present or future statute, law, ordinance, regulation, order, failure to deliver on the part of its suppliers, judgment or decree, act of God, earthquake, epidemic, pandemic, explosion, lockout, boycott, strike, labor unrest, riot, war, shortage of adequate or suitable Internet connectivity, telecommunication breakdown or shortage of adequate power or electricity and other similar events beyond Tenet’s control (“Force Majeure Event”). In the event of any such delay or failure, Tenet will use reasonable efforts to promptly notify You of the Force Majeure Event, stating the period of time the occurrence is expected to continue. We will resume the performance of our obligations as soon as reasonably practicable after the removal of the cause. Survival The Terms of Use shall survive termination of Your account with the Platform, subject to and in accordance with applicable law. Corrections There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice. Entire Agreement These Terms of Use (as updated from time to time) comprise the entire agreement between You and Tenet relating to Your access to and use of the Site, Services and Content, and supersede any and all prior discussions agreements, and understandings of any kind (including without limitation prior versions of these Terms of Use). Except as otherwise provided herein, these Terms of Use are intended solely for the benefit of the parties and are not intended to confer third party beneficiary rights upon any other person or entity. Severability If any term, clause, or provision of these Terms of Use is held invalid or unenforceable, then that term, clause, or provision shall be severable from these Terms of Use and will not affect the validity or enforceability of any remaining part of that term, cause, or provision, or any other terms, clause, or provision of these Terms of Use. Grievance Redressal Mechanism If You have any complaint or grievance relating to any aspect of the Services, You may approach Our customer care and grievance redressal team for resolution of such issues by writing to hello@tenetapp.in You agree that all complaints and disputes at Tenet are to be kept confidential. We will endeavour to resolve all grievances within a reasonable time period, as mandated under applicable law. Any decision taken by Us relating to any complaint will be binding on the user.
